1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and BDP Realty, LLC, which owns and operates TokenRents ("TokenRents," "we," "us"). By creating an account or using TokenRents, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.

2. What TokenRents does

TokenRents is software that helps landlords bill rent and helps renters pay it by credit card, ACH bank transfer, or USDC. TokenRents is not a bank, landlord, property manager, or party to any lease. Payments are processed by our third-party payment processor, Stripe, and are subject to Stripe's terms.

3. Accounts

• You must be at least 18 years old and provide accurate information.
• You are responsible for keeping your login credentials secure and for all activity on your account.
• Landlords are responsible for the accuracy of the properties, leases, and charges they create.

4. Fees

Landlords pay no transaction fees. Renters pay a processing fee for each payment, which is shown before the payment is confirmed. Landlords may choose a paid subscription plan; plan prices are listed on our website and are billed monthly until cancelled. Subscriptions can be cancelled anytime and stay active until the end of the billing period. No refunds for partial months.

5. Payments, refunds, and disputes

Payout timing depends on the payment method and our payment processor. Disputes about rent, deposits, or the lease itself are between the landlord and the renter, and TokenRents is not responsible for resolving them. Refunds of rent payments are at the landlord's discretion. If a payment fails or is reversed by a chargeback, the related invoice will be marked unpaid, and any processing fees charged by our payment processor are not refunded.

6. Acceptable use

You may not use TokenRents for any unlawful purpose, to process payments unrelated to rent or property charges, or to interfere with the security or operation of the service.

7. Termination

You may close your account at any time. We may suspend or close accounts that violate these Terms or that we reasonably believe are involved in fraud.

8. Disclaimers and limitation of liability

TokenRents is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, BDP Realty, LLC and its owners, employees, and agents are not liable for any damages of any kind arising from or related to your use of TokenRents, including direct, indirect, incidental, consequential, and punitive damages, lost profits, lost data, failed or delayed payments, and disputes between landlords and renters. You use TokenRents at your own risk.

9. Changes to these terms

We may update these Terms. If we make material changes, we will notify you before they take effect.

10. Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules.
